Clause 1: Purpose The terms and conditions described hereafter set the rights and obligations of the company In Translatio and its client with regard to the selling of the following services:
- Translation and Transcreation of documents and websites
- Document revision and correction services
- Localization services
- Machine Translation Post-Editing (MTPE)
- Data annotation and grading projects for AI/LLMs
Any service performed by In Translatio requires the purchaser to adhere to the present terms and conditions. These terms can only be supplemented or modified through a written agreement signed by both parties.
Clause 2: Ordering and Pricing All service requests are subject to a quote, detailing price and payment terms. Prices are denominated in euros (€) or US dollars ($) and exclude taxes. Quotes remain valid for 30 days unless stated otherwise.
Orders require a signed purchase order or quote. In Translatio reserves the right not to start work without this confirmation. Price modifications may occur, but confirmed orders remain at the initially quoted rate.
Clause 3: Cancellation Conditions Cancellation requests must be submitted in writing. The client is liable for the costs of services completed up to the date of cancellation. Deposits are non-refundable, serving as compensation for cancellation.
Clause 4: Terms of Payment Payment is by bank transfer. A 50% deposit is required upon order placement. The balance is due within 15 working days of service delivery. Currency exchange fees are the client’s responsibility.
Clause 5: Late Payment Late payments incur a penalty of three times the legal interest rate as per French law. In Translatio may suspend services until payment is settled.
Clause 6: Termination Clause If overdue payments remain unsettled 15 working days after notification, the contract may be terminated. In Translatio may seek compensation for damages incurred.
Clause 7: Execution Services are deemed complete upon delivery of processed documents. Reasonable delays do not warrant cancellation or compensation unless explicitly agreed otherwise. Deadlines may extend if clarifications or additional resources from the client are required.
Clause 8: Force Majeure In Translatio is not liable for delays or non-completion due to unforeseen and uncontrollable events (force majeure), including natural disasters, governmental actions, or technological failures.
Clause 9: Claims Claims must be submitted in writing within 10 business days of delivery. They must pertain to translation errors or omissions, not stylistic preferences. In Translatio’s liability is capped at the invoice amount.
Clause 10: Confidentiality Client materials are treated confidentially. In Translatio’s subcontractors are bound by confidentiality agreements. The company’s proprietary materials (quotes, studies, etc.) may not be shared without consent.
Clause 11: Disputes and Competent Court These terms are governed by French law. Unresolved disputes are subject to the jurisdiction of the Commercial Court of Nevers (58). Unauthorized use of delivered materials without payment is prohibited and may result in legal action.
