Terms & Conditions

Clause 1: Purpose

The terms and conditions described hereafter set the rights and obligations of the company In Translatio and its client with regard to the selling of the following services:
– Translation of documents and websites
– Document revision and correction services
– Localization services in a translation context
Any service performed by the company In Translatio requires the purchaser to adhere to the present terms and conditions. The present terms and conditions can only be supplemented or modified through a written document signed by both parties.

Clause 2: Ordering and Pricing

Any request for service is subject to the establishment of a quote beforehand. The quote is sent to the customer with an indication of the price and payment terms.

The prices of the services being sold are those in effect on the day the order is placed. They are denominated in euros (€) or US dollars ($) and are calculated exclusive of tax.

Each order of service must be accompanied by a signed purchase order or the signed quote, for lack of which the company In Translatio reserves the right not to start the work.

The company In Translatio reserves the right to modify its prices at any time. However, it undertakes to charge for the services ordered at the prices indicated at the time the order was placed.

Any modification of the order leading to a change in the service will result in the establishment of a new invoice and a new delivery date.

Clause 3: Cancellation Conditions

In the event of cancellation of an order that had given rise to the acceptance of a quote or unilateral termination of the contract by the client, the amounts corresponding to the part of the service performed on the date of termination are due. These amounts include the costs of the preparation of the translation already carried out by In Translatio, the costs incurred for these same purposes as well as the number of words already processed before In Translatio received the written request for cancellation.

For any cancellation of an order by the client, the amounts paid as a deposit will remain the property of the company In Translatio as a cancellation compensation.

Clause 4: Terms of Payment

Orders are paid by bank transfer. When the order is placed, the buyer must pay a deposit of 50% of the total amount of the invoice, the balance being paid within fifteen working days following the completion of the services ordered and the delivery of the final documents.

Clause 5: Late Payment

In the event of total or partial lack of payment of the services carried out within ten working days following the receipt of the documents, the purchaser will be required to pay a late payment penalty equal to three times the legal interest rate in force on the day the service was completed, as per French law 2008-776 of August 4, 2008.

The company In Translatio reserves the right to interrupt the works and services in progress in case of late payment.

Clause 6: Termination Clause

If in the fifteen working days following the application of the “Late payment” clause, the purchaser did not pay the remaining due sums, the sale will be terminated by right and can give right to compensation to the benefit of the company In Translatio.

Clause 7: Execution

The service is considered complete when the documents processed by the company In Translatio are sent.
If no delivery date is specified when the order is placed, any reasonable delay in the delivery of the documents shall not entitle the purchaser to claim compensation or to cancel the order.
If a deadline is specified at the time the order is placed, the company In Translatio undertakes to provide the completed documents no later than the deadline specified in the purchase order.
Any purchase order sent after 19h00 GMT+1 to the company In Translatio will be considered as received the following working day.
In the event of difficulties in understanding the text, the delivery period will be extended for a period equal to the research time, or the time elapsed while waiting for the client to provide the additional elements necessary for a good understanding of the text.
The company In Translatio remains the owner of the translated texts until full payment of the work is received.

Clause 8: Force Majeure

In Translatio cannot be held responsible for the non-completion or delay in the execution of one of its obligations described in the present terms and conditions if said delay arises from a case of force majeure. Force majeure means any external, unforeseeable, and irresistible event as defined in Article 1148 of the French Civil Code.

Clause 9: Claims

For a claim to be taken into account, it must be sent by e-mail no later than ten business days after the delivery of the work. After this deadline, no claim will be taken into consideration. The claim can only relate to errors made in the translation of the text transmitted. Under no circumstances can defects in a part of the translation cast doubt upon the work in its entirety. The company In Translatio undertakes, at its own expense and within a reasonable period, to carry out the necessary corrections corresponding to the claim formulated by the client. The company In Translatio can in no case be held responsible for claims motivated by nuances of style.
The responsibility of the company In Translatio is limited to the amount of the relevant invoice, even in case of loss or destruction of the documents transmitted.

Clause 10: Confidentiality

The company In Translatio will protect the confidentiality of the documents transmitted by the client.
The studies, quotes, and commercial documents delivered or sent by the company In Translatio remain the property of the company In Translatio; they cannot be communicated by the client to third parties for any reason.

Clause 11: Disputes and Competent Court

Any dispute relating to the interpretation and execution of these general terms and conditions is subject to French law.
Failing amicable resolution, the dispute will be brought before the Commercial Court of Nevers (58) which will have sole jurisdiction.
In case of non-payment, any use or reproduction, in part or in full, of the documents delivered is illegal. The company In Translatio reserves the right to take legal action to recover amounts due.
